Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Smart AI website, applications, products, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

  • "Content" means any text, images, audio, video, scripts, prompts, models, metadata, or other materials uploaded, generated, published, or otherwise made available via the Platform.
  • "Creator" means a user who publishes Content, launches a project, issues NFTs/Tokens, or enables monetization features.
  • "NFT" means a non-fungible token associated with Content or rights described on-chain and/or in metadata.
  • "Token" means a fungible token created or used on the Platform (including content-bound tokens and platform utility tokens).
  • "SAIT" and "SAIC" refer to the Platform's utility tokens or internal units as displayed on the Platform.
  • "Web3 Wallet" means a non-custodial blockchain wallet used to interact with smart contracts and sign transactions.

3. Eligibility and Account

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.

You may be required to connect a Web3 Wallet and/or create a profile. You are responsible for all activities conducted through your account, profile, and wallet connection.

  • You are responsible for maintaining wallet security, including private keys and seed phrases.
  • You must provide accurate information where requested and keep it updated.
  • We may suspend or terminate access if we reasonably believe your account is compromised or used in violation of these Terms.

4. Platform Services

Smart AI provides a Web3 creator economy platform that may include:

  • AI-powered content creation tools (e.g., music, scripts, videos, short dramas, images, voice).
  • Minting and issuance tools for NFTs and Tokens related to Content.
  • Creator crowdfunding and fan participation features (including voting and access mechanisms).
  • Marketplace and decentralized trading interfaces (including DEX-style trading where applicable).
  • Staking, rewards, reflow/burn, and other on-chain or off-chain incentive mechanisms.
  • APIs and integrations with third-party AI services, storage, analytics, and publishing platforms.

We may add, remove, or modify features at any time. Some features may be in beta and may change without notice.

5. Wallet, Blockchain Transactions, and Finality

By using the Platform, you acknowledge that blockchain transactions are public, irreversible, and subject to network fees (gas). We do not custody your assets unless explicitly stated in a separate agreement. You are solely responsible for reviewing transaction details before confirming.

  • We do not store or recover private keys or seed phrases.
  • If you send assets to the wrong address or chain, recovery may be impossible.
  • Transaction speed and confirmation depend on the underlying network and are outside our control.

6. Creator Tools, Monetization, and Project Launches

6.1 Publishing and Monetization

Creators may publish Content and enable monetization features such as sales, royalties, subscriptions, crowdfunding, or tokenized participation as available.

6.2 Crowdfunding and Fan Participation

Creators may launch projects and invite supporters to participate via NFTs/Tokens or other mechanisms. Supporters acknowledge that participation is inherently risky and does not guarantee completion, profitability, or return.

6.3 Revenue Split and Fees

Platform fees, creator royalties, and other splits (if any) will be displayed in-product or on the relevant transaction page. We may update fee structures to maintain ecosystem sustainability.

7. Intellectual Property and Licenses

7.1 Your Content

As between you and Smart AI, you retain any rights you have in Content you create or upload, subject to these Terms and any licenses you grant to Smart AI or to other users through on-chain configurations, metadata, or marketplace settings.

7.2 License to Smart AI

You grant Smart AI a non-exclusive, worldwide, royalty-free, sublicensable (solely to service providers), and transferable license to host, store, reproduce, display, distribute, and otherwise use your Content for operating, improving, promoting, and providing the Platform.

7.3 License to Other Users

If you list or publish Content for others to view, purchase, or use, you grant other users the rights explicitly described in the listing, smart contract terms, metadata, or product UI (e.g., view, resale, remix/derivative where enabled).

7.4 AI Inputs and Outputs

You represent that you have the necessary rights to submit prompts, inputs, or training data. AI-generated outputs may be similar to third-party works. Smart AI does not guarantee that outputs are non-infringing or unique.

8. Content Standards and Prohibited Use

You agree not to use the Platform to:

  • Upload, generate, or distribute illegal, harmful, defamatory, hateful, or sexually explicit content (including content involving minors).
  • Infringe intellectual property or privacy rights of others.
  • Engage in fraud, deceptive practices, phishing, or impersonation.
  • Manipulate markets, wash trade, or otherwise distort marketplace activity.
  • Attempt to exploit vulnerabilities, bypass security, or interfere with the Platform.
  • Use the Platform to facilitate money laundering, terrorist financing, or other prohibited activities.

We may remove Content, restrict visibility, or suspend accounts at our discretion to enforce these standards.

9. DEX, Marketplace, and Secondary Trading

The Platform may provide interfaces that allow you to interact with decentralized protocols or smart contracts. We do not control third-party protocols and are not responsible for their performance or security.

  • Prices are determined by market supply and demand and may be volatile.
  • Liquidity may be limited; you may not be able to buy/sell at desired prices.
  • Smart contract vulnerabilities, oracle failures, MEV, and network congestion may cause losses.

10. Staking, Rewards, Reflow/Burn Mechanisms

The Platform may offer staking, rewards, reflow, buyback, burn, delayed release, and similar mechanisms. Parameters may change over time. Any displayed yields are estimates and not guaranteed.

  • Rewards may be subject to caps, schedules, lockups, or cooldown periods.
  • Claiming rewards may require holding specific tokens to cover fees or mechanism requirements as shown in the product UI.
  • Mechanisms may be paused for upgrades, security incidents, or network conditions.

11. API and Developer Terms (Summary)

If you use Smart AI APIs or developer tools, you must comply with our technical documentation, rate limits, and acceptable use policies. You may not use APIs to generate or distribute prohibited content or to scrape/abuse the Platform.

  • API keys (if any) must be kept confidential and not shared publicly.
  • We may throttle, suspend, or revoke API access for abuse or security reasons.
  • Third-party AI providers integrated via the Platform may impose additional terms.

12. Third-Party Services

The Platform may integrate third-party services (e.g., wallets, storage, AI models, analytics, social publishing platforms). Your use of third-party services is governed by their terms and policies. We are not responsible for third-party outages or actions.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Platform, you acknowledge that blockchain data is public and immutable.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART AI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SMART AI DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. NOTHING ON THE PLATFORM CONSTITUTES AN OFFER OR SOLICITATION TO BUY OR SELL SECURITIES OR OTHER REGULATED PRODUCTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

IN NO EVENT WILL SMART AI'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SMART AI IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR (B) USD 100.

16. Indemnification

You agree to defend, indemnify, and hold harmless Smart AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from your use of the Platform, your Content, or your violation of these Terms.

17. Termination

We may suspend or terminate your access at any time if we believe you violated these Terms or applicable law. You may stop using the Platform at any time. Sections that by their nature should survive termination will survive.

18. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on the Platform and update the "Last Updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Platform shall be submitted to the competent courts of Singapore, unless we agree to an alternative dispute resolution process.
